VOLUNTEER AGREEMENT.

I understand that Organic Chemistry Dating, LLC’s mission is to organize singles events that foster meaningful connections through fun activities revolving around volunteering and community service. I wish to volunteer my time to support this effort.

By agreeing to serve as a volunteer with Organic Chemistry Dating, LLC, I acknowledge that entry into this agreement (“Agreement”) is in consideration of my participation as a volunteer, and confirm my understanding of and agreement to the terms herein.

Purpose and Non-Employee Status. I am participating as a volunteer for Organic Chemistry Dating, LLC voluntarily and without coercion, as an act of public service. I understand that (a) I am not an employee of Organic Chemistry Dating, LLC due to my participation as a volunteer for Organic Chemistry Dating, LLC, (b) I will not be paid for such participation, and (c) I am not covered by or eligible for any Organic Chemistry Dating, LLC insurance, health care, worker’s compensation, or other benefits. I am not entitled to, do not expect, and will not seek any wages or any other compensation or benefits from Organic Chemistry Dating, LLC or any other person for the time I spend volunteering.

Code of Conduct. I agree to comply with Organic Chemistry Dating, LLC’s Code of Conduct. I will comply with all instructions from event staff. I will observe and obey all posted rules and warnings. I will obey the policies, rules, and regulations of Organic Chemistry Dating, LLC, event hosts, instructors, and partners.

Photo and Recordings Grant. I hereby grant to Organic Chemistry Dating, LLC, and anyone authorized by Organic Chemistry Dating, LLC, permission to: (a) photograph and record me on film, videotape, audiotape, digital media or otherwise (the "Photographs and Recordings"); (b) use the Photographs and Recordings of me obtained by Organic Chemistry Dating, LLC; (c) edit and modify any existing or resulting Photographs and Recordings; and (d) use and distribute such Photographs and Recordings, in whole or in part, together with my name, likeness, voice, story, comments, and persona, in any manner or media and for the purpose of supporting Organic Chemistry Dating, LLC, as determined by Organic Chemistry Dating, LLC in its sole discretion. I represent and warrant that I have all rights necessary to grant such permission as set forth herein and that no infringement or violation of any third party rights will result from the use of my name, likeness, voice, story, comments, or persona as captured in the Photographs and Recordings. I understand and agree that Organic Chemistry Dating, LLC will own all rights of any kind in the Photographs and Recordings, and that I will retain no rights therein. I further understand that Organic Chemistry Dating, LLC shall have no obligation to make any use of the Photographs or Recordings and that all rights granted herein are fully sub-licensable and assignable.

Confidentiality. During the course of my volunteer participation, I may encounter or be granted access to Organic Chemistry Dating, LLC confidential information. At all times during and after my participation, I agree to hold any such confidential information in confidence and not disclose or use it except as Organic Chemistry Dating, LLC expressly authorizes.

Waiver and Release. I assume all of the risks of volunteering and serving as a volunteer with Organic Chemistry Dating, LLC, and I agree that Organic Chemistry Dating, LLC shall not be liable for any injury, illness, or damage to person or property that may arise during the course of performing such volunteer activities or via Organic Chemistry Dating, LLC’s use of Photographs and Recordings. On behalf of me and my assigns, heirs, legal representatives, executors, agents, and any organization or entity with which I am affiliated, I hereby agree to DEFEND, INDEMNIFY, RELEASE AND DISCHARGE Organic Chemistry Dating, LLC and its directors, officers, employees, agents, representatives, and successors (collectively, the “Released Parties”) FROM ANY AND ALL CLAIMS, LIABILITIES, RIGHTS, DEBTS, SUITS, COMPLAINTS, PROMISES, CROSS-CLAIMS, CONTROVERSIES, DAMAGES, CAUSES OF ACTION, JUDGMENTS, COSTS, EXPENSES, ATTORNEY FEES, AND/OR DISPUTES asserted or unasserted, known or unknown, that arise in any way from: (1) my participation as a volunteer with Organic Chemistry Dating, LLC, (2) out of or in connection with the use of my name, likeness, voice, story, comments, or persona, or any of the content I provide in the Photographs and Recordings, or (3) the breach or alleged breach of any of the representations or warranties I make in this grant and release. This waiver and release is irrevocable, Organic Chemistry Dating, LLC may proceed in reliance thereon, and I agree that I will not be entitled to injunctive relief that would interfere with the use or other exploitation of the Photographs and Recordings. I understand that I will not be entitled to any compensation for the permission and release granted herein or for any use of the Photographs and Recordings. I hereby attest that I have read, and agree, to the above statements.

Fees. I agree to pay for all damages to the event venues caused by any negligent, reckless, or willful actions by me.

No Duress. I agree and acknowledge that I am under no pressure or duress to sign this Agreement and that I have been given a reasonable opportunity to review it before signing. I further agree and acknowledge that I am free to have my own legal counsel review this Agreement if I so desire.

Applicable Law. Any legal or equitable claim that may arise from participation in volunteer events with Organic Chemistry Dating, LLC shall be resolved under California law.

Arm's Length Agreement. This Agreement and each of its terms are the product of an arm's length negotiation between the Parties. In the event any ambiguity is found to exist in the interpretation of this Agreement, or any of its provisions, the Parties, and each of them, explicitly reject the application of any legal or equitable rule of interpretation which would lead to a construction either "for" or "against" a particular party based upon their status as the drafter of a specific term, language, or provision giving rise to such ambiguity. Accordingly, the Parties specifically reject the application of Cal. Civ. Code §1654 to this Agreement, as well as any other statute or common law principles of similar effect.

Enforceability. The invalidity or unenforceability of any provision of this Agreement, whether standing alone or as applied to a particular occurrence or circumstance, shall not affect the validity or enforceability of any other provision of this Agreement or of any other applications of such provision, as the case may be, and such invalid or unenforceable provision shall be deemed not to be a part of this Agreement.

Dispute Resolution. The parties will attempt to resolve any dispute arising out of or relating to this Agreement through friendly negotiations amongst the parties. If the matter is not resolved by negotiation, the parties will resolve the dispute using the below Alternative Dispute Resolution (ADR) procedure.

Any controversies or disputes arising out of or relating to this Agreement will be submitted to mediation in accordance with any statutory rules of mediation. If mediation does not successfully resolve the dispute, then the parties may proceed to seek an alternative form of resolution in accordance with any other rights and remedies afforded to them by law.

I HAVE READ THIS DOCUMENT AND UNDERSTAND IT. I FURTHER UNDERSTAND THAT BY VOLUNTEERING WITH ORGANIC CHEMISTRY DATING, LLC I VOLUNTARILY SURRENDER CERTAIN LEGAL RIGHTS.
